Announcement on Resignation of Director of Board of Directors of China Guangfa Bank Co., Ltd.

The Board of Directors and all directors of China Guangfa Bank Co., Ltd. ensure that the contents of this Announcement are free from any misrepresentation, misleading statement and material omission, and that they will assume joint and several liability for the truthfulness, accuracy and integrity of the contents.

China Guangfa Bank Co., Ltd. (hereinafter referred to as the "Bank") recently received a letter of resignation from Mr.Tang Xiaoqing, the Independent Director of Board of Directors of the Bank. Due to regulatory provisions, Mr. Tang Xiaoqing had served for six years and resigned as an Independent Director of the ninth Board of Directors and committee. Mr. Tang Xiaoqing confirmed that he had no different opinions with the Board of Directors of the Bank, nor did he have any other matters to be brought to the attention of the shareholders of the Bank. As the same time, the General Meeting of Shareholders of the Bank had selected new independent director. Before the qualification approval of the new independent director, Mr. Tang Xiaoqing continued to perform his duties as an Independent Director of the Bank as required.

Mr. Tang Xiaoqing has been an Independent Director of the Bank for six years, and has been diligent, conscientious, pragmatic, rigorous and striving for excellence.
