Announcement on the Approval of Amendments to the Articles of Association and Cancellation of the Board of Supervisors of China Guangfa Bank Co., Ltd. (CGB)

The Board of Directors and all Directors of China Guangfa Bank Co., Ltd. ensure that the contents of this Announcement are free from any misrepresentation, misleading statement and material omission, and that they will assume legal liabilities for the truthfulness, accuracy and integrity of the contents.

The Third Extraordinary General Meeting of China Guangfa Bank Co., Ltd. (the "Bank") convened on 23 September 2025 considered and approved the Proposal on the Cancellation of the Board of Supervisors and the Proposal on the Amendments to the Articles of Association of China Guangfa Bank Co., Ltd.. Recently, the Bank received the ¡°Approval from the National Administration of Financial Regulation concerning the Amendments to the Articles of Association of China Guangfa Bank¡± (Jin Fu [2025] No.751). The amended Articles of Association has been approved and come into effect.

Since the day of the amended Articles of Association being approved, according to the Articles of Association, the Bank will no longer set up the Board of Supervisors. The Audit Committee of the Board of Directors shall undertake the duties stipulated by Company Law of the People¡¯s Republic of China and supervisory system which previously undertaken by the Board of Supervisors. Mr.Luo Yubing, Ms. Lu Zeyuan, Mr. Li Weiyi, Mr. Tan Youchao, Ms. Pan Hua and Ms. Guan Tiejun, no longer serve as Supervisors or hold any related positions in the Board of Supervisors, and have confirmed that they have no disagreements with the Bank and there are no other matters that need to be brought to the attention of the shareholders and creditors of the Bank. The Bank hereby expresses its sincere gratitude to all the Supervisors for their contribution in their tenure.
